1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and IoTera Oy (Business ID: 3454475-1), located in Tampere, Finland ("Company", "we", "us", or "our"), concerning your access to and use of the QRLeap application as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By accessing or using the Site, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Finland, foreign jurisdictions, and international conventions.

3. User Representations

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.

4. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Site, you agree not to:

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • Circumvent, disable, or otherwise interfere with security-related features of the Site.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
  • Attempt to impersonate another user or person or use the username of another user.
  • Use any information obtained from the Site in order to harass, abuse, or harm another person.
  • Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
  • Use the Site in a manner inconsistent with any applicable laws or regulations.

5. Subscriptions & Billing

QRLeap offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

  • Recurring Billing: Paid plans are billed on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Payment: All payments are processed securely by our payment partner, Lemon Squeezy (Lemon Squeezy LLC). By subscribing, you also agree to Lemon Squeezy's terms of service.
  • Price Changes: We reserve the right to change subscription prices. Any price changes will be communicated in advance and will take effect at the start of your next billing period.
  • Cancellation: You may cancel your subscription at any time from the Billing page in your dashboard. Upon cancellation, you retain access to your paid features until the end of the current billing period. After that, your account will be downgraded to the Free plan and QR codes exceeding the free limit will be deactivated.
  • Resuming: If you cancel and your billing period has not yet ended, you may resume your subscription to prevent downgrade. No additional charge is applied until your next scheduled renewal.
  • Upgrades & Downgrades: You may switch between plans at any time. When upgrading, the prorated difference is charged immediately. When downgrading, unused time is credited toward your next billing cycle.
  • Refunds: Subscription payments are generally non-refundable. If you believe you have been charged in error, please contact us at qrleap@iotera.fi and we will review your case.

6. QR Code Content & Liability

You are solely responsible for the content linked to by your QR codes. We do not monitor all content linked via our service but reserve the right to disable any QR code that links to illegal, malicious, harmful, or abusive content without notice.

IoTera Oy shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.

7. Account Termination & Data

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon account deletion, your QR codes will be permanently deactivated and your personal data will be deleted in accordance with our Privacy Policy. Scan analytics data associated with your account will be anonymized and may be retained in aggregate form for statistical purposes.

8. Service Availability

We strive to maintain high availability of the QRLeap service. However, we do not guarantee uninterrupted or error-free operation. The service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any losses resulting from service downtime.

9. Governing Law

These Terms shall be governed by and defined following the laws of Finland. IoTera Oy and yourself irrevocably consent that the courts of Finland shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
